The Bipartisan Budget Act of 2015 made major changes to the way the IRS audits LLCs taxed as partnerships. One of the changes requires that partnerships name a person who has a substantial presence in the United States to be the partnership's Partnership Representative. Although the Partnership Representative does not have to be a Partner of the LP, we recommend that a Limited Partner be the Partnership Representative.
If the LP is audited the IRS will only deal with the Partnership Representative. If your LP fails to name a Partnership Representative the IRS will name somebody to be your partnership's Partnership Representative. You don't want the IRS to pick somebody you don't know who has the power to consent to an IRS audit that says the LP owes additional taxes.
